STRUCTURING FAMILY GROUPS (“PACTE DUTREIL”)

Bornhauser has extensive experience helping families organise and pass on their business in the best possible way.

Our practice is not to impose ready-made legal solutions but to focus first and foremost on listening to our clients’ professional and personal needs. This gives us a complete picture of:

  • the governance requirements of the family business;
  • foreseeable changes in the economic environment and the business’s prospects;
  • the willingness or not of each family member to become personally involved in managing the business;
  • any special situations (disagreement, for example).

Once we have this information, we suggest a structure that respects the rights and objectives of each person involved, using some or all of the legal tools at our disposal (holding companies, Dutreil agreements (pactes Dutreil), shareholders’ agreements, gifts in France or abroad, share buybacks, etc.).
